STANDARD TERMS AND CONDITIONS OF SALE
for igloo reader pro, accessories for it and lfa tests
seller: Dx365 GmbH, Berlin, Germany
version: 1.1
effective date: 09.01.2025
1.1 These terms apply to all sales of Igloo Reader Pro, accessories, and the seller’s LFA tests/consumables, unless otherwise agreed in writing.
1.2 Sales are B2B only. By placing an order, the buyer confirms it acts as a business entity and/or as an authorized representative of a business entity.
1.3 During checkout the buyer confirms (via checkbox) that the purchase is for professional use only and that the products are not intended to be sold or supplied to consumers for home use.
Order and contract
2.1 A contract is formed when the seller confirms the order in writing (email is sufficient) or ships the products.
2.2 The scope of supply, price, payment and delivery terms are defined by the order confirmation and/or invoice.
Prices, taxes, payment
3.1 Prices are stated in EUR and are, by default, exclusive of VAT and any import duties/charges unless explicitly stated otherwise.
3.2 Payment terms are as stated in the invoice/order confirmation. The seller may suspend shipment until full payment is received.
Delivery and transfer of risk
4.1 Delivery dates are estimates unless a fixed date is expressly agreed in writing.
4.2 The risk of loss or damage transfers to the buyer upon handover of the goods to the carrier, unless agreed otherwise.
Professional use only and compliance with instructions
5.1 The device and tests are labelled professional use only. The buyer shall ensure that the products are used only by professionals and strictly in accordance with the Instructions for Use (IFU), labelling, storage/transport conditions, and applicable safety requirements.
5.2 The buyer is responsible for staff training, quality control processes, storage conditions, and compliance with expiry dates.
Territorial restrictions, cloud services, and compatibility
6.1 Products, software features, cloud services, activations, calibrations, and test compatibility may be restricted by country/region.
6.2 When purchased for a specific country, the device may be configured so that cloud services and/or the use of tests intended for another country/region are unavailable or will not work.
6.3 The buyer shall not circumvent technical or geographic restrictions and shall not use the products outside the agreed territory.
6.4 Test compatibility and official supply channel: The Igloo Reader Pro only works with tests supplied by the seller and/or official Igloo distribution partners. Compatible tests include Igloo-issued QR/DataMatrix identifiers used for automated transfer of lot-specific calibration and configuration data. Tests sourced from other channels typically do not include these identifiers and therefore may not be recognized by the device and/or may not provide valid results. The seller has no obligation to enable compatibility for tests purchased outside the official channel.
Email notifications: updates, safety, corrective actions
7.1 The buyer agrees that the seller may use the contact email provided at purchase to send mandatory service notices, including:
a) Notices requiring software/firmware updates, including security updates.
b) Notices about corrective actions, replacements, service campaigns, field safety notices, recalls, or other actions if the seller identifies manufacturing or quality issues.
c) Instructions for verification, replacement, return, or related procedures.
7.2 Such notices are part of contract performance and may be required for continued proper operation and safety.
Warranty and remedies
8.1 Igloo Reader Pro warranty: 24 months from the date of delivery for defects in materials or workmanship under normal use and in accordance with the IFU.
8.2 Warranty remedy (at the seller’s option): repair or replacement. If repair/replacement is not possible or not reasonable, the seller may refund the purchase price for the affected device.
8.3 Warranty exclusions: damage due to improper use, drops/impact, exposure to moisture or aggressive substances, non-compliant power supply/cables, improper storage/transport, opening/modification/unauthorized repair, or any defect caused by non-compliance with the IFU.
8.4 Claims for LFA tests and consumables are accepted until the expiry date of the relevant lot, provided storage and handling requirements were met. Remedy (after review): replacement or refund for the affected units/lot. Opened/used tests are generally non-returnable, but may be compensated if a lot defect is confirmed.

9.1 Prior return authorization (RMA) is required before shipping any goods back to the seller.
9.2 To support investigation, the buyer shall provide: order/invoice number, device serial number and/or test lot/expiry (lot/exp), a description of the issue, photos/videos where possible, and (upon request) evidence of proper storage/transport conditions.
9.3 Support and returns contact: support@dx365.world or the support request form link below.
Limitation of liability

10.2 The seller’s liability per event is limited to the value of the affected delivered unit/lot, except in cases of intent, gross negligence, and injury to life/body/health.
Governing law and jurisdiction
11.1 These terms and the contract are governed by the laws of the Federal Republic of Germany.
11.2 Exclusive place of jurisdiction is Berlin, Germany, provided the buyer is a business (B2B).
